1. Acceptance of these Terms

These Terms of Use (the "Terms") govern your access to and use of this directory and its associated content (collectively, the "Directory"). By accessing the Directory you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Directory.

2. Nature of the Directory

The Directory is a private, non-commercial reference catalogue of venture funds, accelerators, grants, events and the publicly-named professionals associated with them. It is made available on a complimentary basis for personal, informational and educational use only.

3. Eligibility and access

Use of the Directory is restricted to individuals at least sixteen (16) years of age acting in a professional capacity. Certain sections of the Directory are restricted to authorised visitors holding a valid invitation. Invitations are issued at the operator's sole discretion and may be revoked at any time without prior notice or stated reason.

4. Permitted use

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable licence to access the Directory and its content solely for your own personal, non-commercial, informational use, and — where you hold a valid invitation — to contact listed organisations through their publicly-available channels in your own professional capacity.

5. Restrictions

You agree not to, and shall not authorise any third party to, directly or indirectly:

• reproduce, publish, redistribute, syndicate, license, lease, sell, sublicense, or otherwise commercially exploit the Directory or any substantial part of its content;
• extract, scrape, harvest, mine, or otherwise systematically collect data from the Directory, by automated or manual means;
• use the Directory or any derived data set to compile prospect lists, send marketing communications, train or fine-tune any machine-learning model, or build any product or service offered to third parties;
• circumvent, attempt to circumvent, or assist any third party to circumvent any access control, authentication mechanism, rate limit, or technical protection measure;
• share, transfer, resell or expose any invitation link or session credential issued to you;
• use the Directory in a manner that violates applicable law, including but not limited to laws governing data protection, electronic communications, unfair competition, and intellectual property;
• attempt to interfere with the proper functioning of the Directory, including by introducing malicious code or overwhelming the Directory with excessive requests.

6. Intellectual property

The compilation, arrangement, structure and presentation of the Directory are proprietary works protected by applicable copyright, database and related laws. Individual entries reference third-party information provided in good faith for informational purposes. No licence in any third-party trade mark, logo or other intellectual property right is granted by virtue of inclusion in the Directory.

7. No professional advice

The Directory is provided for general informational purposes only and does not constitute investment, legal, tax, financial, employment or other professional advice. You should not act or refrain from acting on the basis of any content contained in the Directory without independent verification and, where appropriate, qualified professional advice.

8. No affiliation; no endorsement

Inclusion in the Directory does not imply endorsement, sponsorship, partnership, certification, or any commercial relationship between the operator and any listed organisation or individual. References to third-party names, marks and logos are for identification purposes only.

9. Disclaimer of warranties

The Directory is provided on an "as is" and "as available" basis, with all faults and without warranty of any kind, whether express, implied, statutory or otherwise, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or timeliness. The operator does not warrant that the Directory will be uninterrupted, error-free, or free of harmful components.

10. Limitation of liability

To the fullest extent permitted by applicable law, in no event shall the operator be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenues, business opportunities, goodwill, data or use, arising out of or in connection with your access to or use of the Directory, whether based on contract, tort (including negligence), strict liability or any other legal theory, even if the operator has been advised of the possibility of such damages. In any case, the aggregate liability of the operator shall not exceed one hundred United States dollars (USD 100).

11. Indemnification

You agree to defend, indemnify and hold harmless the operator and its affiliates, officers, agents and contractors from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including reasonable legal fees) arising from (i) your use of or access to the Directory; (ii) your violation of these Terms; or (iii) your violation of any third-party right.

12. Removal and correction requests

Listed organisations and individuals may submit removal or correction requests at any time via /privacy/removal. Valid requests are processed within the timeframes set out in the Privacy Policy and in any event within those required by applicable law.

13. Termination

The operator may, at its sole discretion, suspend or terminate your access to the Directory at any time, with or without notice and with or without cause. Upon termination, all rights granted to you under these Terms shall immediately cease, and Sections 5 through 11, 14 and 15 shall survive.

14. Governing law and dispute resolution

These Terms shall be interpreted in good faith and in a manner consistent with generally-recognised principles of international commercial practice. The Parties shall first attempt to resolve any dispute, controversy or claim arising out of or in connection with these Terms or the use of the Directory through good-faith consultations. Where such consultations fail, the dispute shall be referred to the courts of competent jurisdiction in the operator's place of habitual residence, without prejudice to any mandatory consumer-protection rights you may have under the law of your own jurisdiction.

15. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the operator concerning the Directory and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

No waiver. The failure of the operator to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or any of your rights or obligations hereunder without the operator's prior written consent. The operator may assign these Terms freely.

Updates. The operator may modify these Terms from time to time. Material changes will be indicated by an updated effective date at the top of this page. Your continued use of the Directory following the posting of revised Terms constitutes acceptance of those revisions.
